4. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into contracts to use the Services. By using the Services you represent and warrant that you meet these eligibility requirements.
5. Access and Use of the Services

- Notify us immediately if you suspect unauthorized account use. We are not liable for losses resulting from unauthorized use of your account unless caused by our gross negligence or willful misconduct.
7. Client Materials & User Content
- You retain ownership of any Client Materials or User Content you submit. By providing such materials, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such materials solely as needed to provide the Services.
- You represent and warrant that you have the rights to submit the materials and that their use does not infringe any third-party rights.
8. Intellectual Property
- All Content and Services provided by mccloudCo Technologies, including trademarks, logos, materials, designs, source code, and processes, are the property of mccloudCo Technologies (or its licensors) and protected by copyright, trademark, and other intellectual property laws.
- Except as expressly permitted in these Terms or authorized in writing, you may not copy, reproduce, distribute, modify, create derivative works, or publicly display any portion of the Services.
9. Acceptable Use & Prohibited Conduct
You agree not to:
- Use the Services to transmit malware, spam, or other harmful code;
- Reverse engineer, decompile, or attempt to derive source code from the Services;
- Harvest data or personal information of other users;
- Use the Services to violate any law, infringe intellectual property rights, or violate third-party rights.
10. Fees & Payment (If Applicable)
- If the Services include paid offerings, you agree to pay all fees specified in a subscription, order form, or proposal.
- All fees are non-refundable except as otherwise provided in a separate written agreement. We reserve the right to change fees upon notice.
11. Third-Party Links & Services
The Services may contain links to third-party websites, tools, or services that are not owned or controlled by mccloudCo Technologies. We are not responsible for the content, privacy practices, or terms of those third parties. Your interactions with third parties are solely between you and the third party.
12. Privacy
Our Privacy Policy describes how we collect, use, and disclose personal information. By using the Services you consent to our collection and use of personal data in accordance with the Privacy Policy.
13. Confidentiality
Each party will treat as confidential any non-public information disclosed in connection with the Services. Confidential information will be used solely for the purposes of performing the Services and will not be disclosed to third parties except as permitted in writing or required by law.
14. Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT, mccloudCo Technology DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
15. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL mccloudCo Technologies BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR (B) ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.
- OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO mccloudCo Technologies FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM (OR, IF NO FEES WERE PAID, USD $500).
16. Indemnification
You agree to indemnify, defend, and hold harmless mccloudCo Technologies, its affiliates, and their officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your use of the Services, or your User Content.
17. Termination
- Either party may terminate your access to the Services for breach of these Terms or for any other reason with notice.
- Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (such as Intellectual Property, Indemnification, Limitation of Liability, and Governing Law) will survive.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of Georgia without regard to conflict of law rules. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Georgia, and you and the Company consent to the exclusive jurisdiction of those courts.
19. Export Compliance
You agree to comply with all applicable export and import laws and regulations. You will not use the Services in violation of any export control laws.
20. Notices

21. Entire Agreement
These Terms, together with any documents expressly incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and mccloudCo Technologies regarding the Services and supersede all prior agreements and understandings.
22. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
